§ 101122 Chairman Absence Vice Chairman

If the chairman isn’t there, the vice‑chairman runs the meeting and does all the chairman’s jobs with the same power.

Key Takeaways

  • •When the chairman is absent, the vice‑chairman takes charge of the meeting.
  • •If the chairman can’t do his duties, the vice‑chairman does them instead.
  • •The vice‑chairman’s actions have the same legal effect as if the chairman had done them.

Example

During a monthly board meeting the chairman gets a sudden stomach flu and can’t attend.

The vice‑chairman steps up, leads the discussion, votes on items, and makes decisions just like the chairman would have.
