§ 5215 Corporate Records Certification Evidence

Key Takeaways

  • •If a company writes down its rules or meeting notes, and the secretary signs it as a true copy, it’s proof those rules or meetings happened.
  • •This applies to any important papers like company rules, meeting notes, or decisions made by the boss or team.
  • •The copy can be on paper or something else you can read clearly, like a printed email.

Example

A company has a meeting where they decide to give everyone a bonus. The secretary writes down what happened and signs it.

If someone later says, 'That meeting never happened,' the signed notes are proof that it did and that the bonus was agreed on.
