§ 2504 Seller'S Shipment Obligations

Key Takeaways

  • •If a seller is supposed to send goods to a buyer but there's no specific delivery spot, the seller must:
  • •1. Use a good carrier (like a truck or mail service) to send the goods safely.
  • •2. Give the buyer any papers needed to get the goods (like a receipt or tracking number).
  • •3. Tell the buyer right away that the goods have been shipped.
  • •If the seller doesn’t tell the buyer or doesn’t send the goods properly, the buyer can only reject them if it causes a big delay or loss.

Example

You buy a bike online, and the seller ships it to you.

The seller must use a good shipping company, give you the tracking number, and tell you when it’s sent. If they don’t tell you and the bike gets lost, you can refuse it.

§ 2504 Seller'S Shipment Obligations

Where the seller is required or authorized to send the goods to the buyer and the contract does not require him to deliver them at a particular destination, then unless otherwise agreed he must (a) Put the goods in the possession of such a carrier and make such a contract for their transportation as may be reasonable having regard to the nature of the goods and other circumstances of the case; and (b) Obtain and promptly deliver or tender in due form any document necessary to enable the buyer to obtain possession of the goods or otherwise required by the agreement or by usage of trade; and (c) Promptly notify the buyer of the shipment. Failure to notify the buyer under paragraph (c) or to make a proper contract under paragraph (a) is a ground for rejection only if material delay or loss ensues. (Enacted by Stats. 1963, Ch. 819.)
