§ 837 Foreign Corporation Application Requirements

This law tells foreign companies that want to do business in the state they must file paperwork showing they’re allowed to operate and name a local representative to receive legal papers.

Key Takeaways

  • •Foreign applicants must file a certificate from their home jurisdiction within 30 days of applying.
  • •They must appoint the state commissioner as their legal representative for receiving legal documents.
  • •That legal representation works the same way as it does for domestic companies.

Example

A foreign insurance company based in another country wants to sell policies in the state.

The company must file a certificate from its home jurisdiction proving it can do business here and must name the state insurance commissioner as its legal agent to receive any lawsuits, so any court papers are treated the same as if the company were based locally.
