§ 101862 Board Meeting Decision Rules

This law says that a group decision (called an “action taken”) must be made at an official meeting and decided by a roll‑call vote, and it defines what counts as an official meeting of the board or its committees.

Key Takeaways

  • •A decision (“action taken”) must be made at an official meeting and recorded by calling each person’s name when they vote.
  • •An official meeting is when a majority of the board or an authorized committee meets to discuss business the group can decide on.
  • •Just gathering a majority of directors or committee members without talking about business does NOT count as a meeting.

Example

The board of a small company gets together to decide whether to approve a new marketing plan.

Because the board has a majority of its members present and they vote each person’s name (a roll‑call vote), the decision follows the rule in this law.
