§ 1107 Bank Name Change Rules

Banks can change their name, but they must tell the commissioner at least 30 days before, give up the old name certificates, pay $25 for each new certificate, and the commissioner can’t refuse just because the new name sounds like another bank’s name.

Key Takeaways

  • •Give the commissioner at least 30 days’ notice before changing the bank’s name.
  • •Turn in all old‑name certificates for the head office and any branches.
  • •Pay $25 for each new certificate the commissioner issues.
  • •The commissioner cannot reject the name change just because the new name sounds like another bank’s name.

Example

Sunrise Bank wants to rename itself to Sunrise Community Bank.

Sunrise Bank files a report with the commissioner 30 days before the change, turns in its old name certificates, pays $25 for each new certificate, and the commissioner issues the new certificates even though the new name is similar to another bank’s name.

How to Calculate

Fee = $25 × number of replacement certificates

  1. Count how many certificates need to be replaced (head office, branches, etc.).
  2. Multiply that number by $25.
  3. Pay the total amount to the commissioner.

The bank has 1 head‑office certificate and 2 branch certificates to replace.

Result: $75 total fee

§ 1107 Bank Name Change Rules

(a) A bank may change its name if it files with the commissioner a report on the proposed change not less than 30 days before the change. The report shall be in the form, shall contain the information, shall be signed in the manner, and shall, if the commissioner so requires, be verified in the manner the commissioner may require. (b) Whenever a bank changes its name, the bank shall surrender to the commissioner for cancellation the certificates of authority under its old name for its head office, any branch offices, and any places of business. The commissioner shall issue to the bank replacement certificates under the bank’s new name and the bank shall pay to the commissioner a fee of twenty-five dollars ($25) for each replacement certificate. (c) The commissioner may not deny an application for approval of an amendment of the articles of incorporation of a bank which changes the name of the bank or any other application of a bank relating to a change in the name of the bank because the new name of the bank resembles so closely, as to be likely to cause confusion, the name of any other bank.
