§ 7120 Corporation Formation Requirements

Key Takeaways

  • •A group of people can create a corporation by filling out and submitting the right paperwork.
  • •If the paperwork lists the first directors, those directors must sign it. If not, the people starting the corporation sign it.
  • •Once the paperwork is filed, the corporation exists forever unless the law or the paperwork says otherwise.

Example

A few friends want to start a business together to sell homemade cookies.

They fill out the paperwork to create a corporation. Since they list themselves as the first directors, they all sign it. Once they file the paperwork, their cookie business officially exists and will keep existing unless they decide to close it or break the law.
