§ 6719 Corporate Asset Distribution Recovery

Key Takeaways

  • •If a company is closing down and gives out money or stuff to people without paying its bills first, the company can take that money or stuff back.
  • •The company can sue the people who got the money or stuff to get it back.
  • •The Attorney General or people the company owes money to can start this lawsuit for the company.
  • •This rule applies when the company is officially closing or just stopping its business.

Example

A small toy company is closing because it’s not making money. The owners give themselves the last $10,000 in the bank, but the company still owes $15,000 to the store that sold its toys.

The store can sue the owners to get the $10,000 back because the company should have paid its bills before giving money to the owners.
