§ 6011 Corporate Merger Agreement Requirements

Key Takeaways

  • •If two companies want to become one, their bosses must agree on a plan.
  • •The plan must say which company will stay and which will go away.
  • •The plan must explain how people who own parts of the companies will get parts of the new company.
  • •The plan can have other rules or details if the companies want.

Example

Company A and Company B want to join together to make one bigger company.

The bosses of both companies must make a plan that says which company name will stay, how the owners of Company A and Company B will get ownership in the new company, and any other rules they want to add. If they don’t make this plan, they can’t merge.
