§ 25143 Postponement Or Suspension Of Qualifications

The commissioner can temporarily pause a qualification and must tell the people involved; anyone can ask for a hearing within a set number of business days, and the pause stays until it’s changed or cancelled.

Key Takeaways

  • •The commissioner can suspend a qualification before a final decision.
  • •All parties (applicant, issuer, and the person offering the securities) must be notified of the suspension and why.
  • •A hearing can be requested, and it must start within 15 business days (or 20 days for a permit) after the request.
  • •If no hearing is requested, the suspension stays in effect until the commissioner changes it.

Example

A startup wants to sell its stock and the commissioner issues a stop order on its qualification.

The startup gets a notice that the qualification is on hold. It can ask for a hearing within 15 business days. If it asks, a hearing is set up and the commissioner can lift or change the stop order after hearing both sides.

If no hearing is requested and none is ordered by the commissioner, the order will remain in effect until it is modified or vacated by the commissioner. If a hearing is requested or ordered, the commissioner, after notice and hearing in accordance with subdivision (b) of this section, may modify or vacate the order or extend it until final determination. (b) No stop order may be entered under this chapter except under subdivision (a) of this section without appropriate prior notice to the applicant, the issuer, and the person on whose behalf the securities are to be or have been offered and hearing in accordance with the provisions of the Administrative Procedure Act, Chapter 5 (commencing with Section 11500) of Part 1 of Division 3 of Title 2 of the Government Code, in connection with which the commissioner shall have all of the powers granted thereunder. In the case of qualification by permit, such hearing shall be held upon such notice within 20 business days after a written request therefor by the applicant unless the permit is issued prior to the expiration of such period or the applicant consents to a later date.
