§ 2111 Service On Secretary Of State

If a person or company’s designated agent can’t be found, the court can tell the parties to deliver the legal papers to the Secretary of State, and that counts as proper service after 10 days.

Key Takeaways

  • •The court can require service to the Secretary of State when the agent can’t be found or is no longer authorized.
  • •If the corporation hasn’t filed its required statement, only one copy of the papers is needed; otherwise two copies are required.
  • •Service is deemed complete 10 days after the Secretary of State receives the papers.
  • •The Secretary of State must promptly mail a copy to the corporation’s address and keep a record of the service.

Example

A small business is sued, but the registered agent listed on its paperwork can’t be located after a careful search.

The judge orders the plaintiff to give two copies of the lawsuit and the court order to the Secretary of State. The Secretary of State then mails a copy to the business’s last known address. Ten days after the Secretary of State receives the papers, the service is considered complete.
