§ 10013 Corporation Sole Dissolution Requirements

This law says that when a corporation ends, its dissolution paper must list the corporation’s name and ID, why it’s ending, that a religious group approved it, and who will handle wrapping up its affairs.

Key Takeaways

  • •The dissolution paper must include the corporation’s exact name and its state‑assigned number.
  • •It must explain the reason the corporation is ending.
  • •It must state that a religious organization that controls the corporation gave the okay to dissolve.
  • •It must name and give addresses for the people who will manage the closing process.

Example

A church‑run charity decides to close down because it ran out of money.

The charity must file a dissolution statement that shows its official name and number, says it’s closing because of lack of funds, notes that the church (the religious organization that runs it) gave permission, and lists the people who will take care of paying bills and finishing business.
