§ 10010 Corporation Sole Amendment Rules

This rule lets the main leader of a single‑purpose corporation (like a church) change things like its name, how long it lives, where it works, or how it fills empty spots, as long as they follow the steps for filing the change.

Key Takeaways

  • •The chief officer can make changes any time.
  • •Changes can include the corporation’s name, length of existence, area it covers, or how to fill a vacant office.
  • •The officer must sign a statement, show the religious group’s approval, and file the amendment with the Secretary of State for it to become official.

Example

A church decides to change its name from "First Baptist" to "First Community Church" and also wants to add a new rule about how a new pastor is chosen.

The church’s chief officer writes down the changes, signs a statement saying the church agrees, includes the state ID number, and sends it to the Secretary of State. When the state office accepts it, the church’s official papers are updated with the new name and the new pastor‑selection rule.
