§ 9511 Secured Party Of Record

Key Takeaways

  • •The person listed as the secured party in the original financing statement is the official secured party.
  • •If the financing statement is updated to add or change the secured party, the new person listed becomes the official secured party.
  • •A person stays the official secured party until the financing statement is updated to remove them.

Example

You take out a loan to buy a car, and the bank files a financing statement listing themselves as the secured party.

The bank is the official secured party because they are listed in the original financing statement. If the bank sells your loan to another company, the new company must update the financing statement to become the official secured party.
