§ 9506 Financing Statement Name Errors

Key Takeaways

  • •A financing statement is okay even if it has small mistakes, unless those mistakes make it really confusing.
  • •If the debtor's name is wrong or missing, the statement is usually seriously misleading.
  • •If you can still find the financing statement by searching the debtor's correct name, then the wrong name isn’t a big problem.

Example

A bank files a financing statement to show they have a claim on a person's car, but they spell the person's name wrong.

If the name is wrong but you can still find the statement when you search the correct name, the mistake isn’t a big deal. But if the name is so wrong that you can’t find it, the statement might not count.

§ 9506 Financing Statement Name Errors

(a) A financing statement substantially satisfying the requirements of this part is effective, even if it has minor errors or omissions, unless the errors or omissions make the financing statement seriously misleading. (b) Except as otherwise provided in subdivision (c), a financing statement that fails sufficiently to provide the name of the debtor in accordance with subdivision (a) of Section 9503 is seriously misleading. (c) If a search of the records of the filing office under the debtor’s correct name, using the filing office’s standard search logic, if any, would disclose a financing statement that fails sufficiently to provide the name of the debtor in accordance with subdivision (a) of Section 9503, the name provided does not make the financing statement seriously misleading. (d) For purposes of subdivision (b) of Section 9508, the “debtor’s correct name” in subdivision (c) means the correct name of the new debtor. (Repealed and added by Stats. 1999, Ch. 991, Sec. 35. Effective January 1, 2000. Operative July 1, 2001, by Sec. 75 of Ch. 991 and Section 9701.)
